Representative Experience

Resolving legal matters with engaged business owners, real estate developers, institutional lenders and family enterprises.

  • Represent buyers in commercial purchase agreement negotiations, due diligence review, complex ownership formation, financing and leasing of $25 million plus suburban Boston office complex.
  • Evaluate legal options for, and negotiate on behalf of, a long-term family trust owning retail real estate subject to numerous agreements and restrictions.
  • Negotiate leases: on behalf of a large specialty medical practice for anchor space in new medical office building; and for a religious organization’s 99-year ground lease for an assisted living facility located on a health care campus.
  • Advise developer on acquisition, entity formation, land use permitting, title clearance, leasing, financing and sale of approximately $15 million “big box” national retailer project in western Massachusetts.
  • Act as development counsel for multi-phase build-out of $20M+ elderly housing-assisted living-rehabilitation care campus.
  • Represent New England bank in $8M+ mortgage refinancing secured by office complex and related participation agreement.

  • Represent institutional lender in connection with multi-million dollar construction and permanent loans secured by operating shipyard.
  • Counsel to a web commerce start-up company, including entity formation, development of employee equity ownership plan, and implementation of key contracts.
  • Negotiate a multi-million dollar construction contract for medical facility.

  • Oversee all legal aspects of an ownership restructuring, new entity formation, property management contracts, financing and “1031 Tax Deferred Exchanges” for third generation family real estate enterprise holding apartments and commercial real estate.
  • Counsel family operating business in ownership restructuring and the $3M sell-out of the business assets involving an option payment structure over multiple years prior to closing.
  • Coordinate entity restructuring for 4 generation family business owning retail real estate.

  • Serve as conflict management facilitator and governance advisor for multi-branch family business owning in excess of $200M in commercial real estate.
  • Successfully advise one of two ownership groups of a closely-held high tech service business in an internal business restructuring dispute that represented one of the first applications nationally of Collaborative Law alternative dispute resolution in the civil (business) context.
  • Represent not-for-profit entity in successful multi-million dollar commercial construction project mediation proceeding and settlement.
  • Act as Collaborative Law counsel in the resolution of an ownership and governance dispute between two former spouses controlling a privately-held company in the software-web commerce sector.
